Terms of Service

Chartflow is an AI-powered medical-scribe platform that records the audio of patient visits, produces speech-to-text transcripts via our sub-processors, and generates draft clinical notes using large-language-model AI. The Service is intended exclusively for use by licensed healthcare professionals in their professional capacity.

You must be at least 18 years old and a licensed (or otherwise legally authorised) healthcare professional to use the Service. By creating an account you represent and warrant that you meet these requirements and that you have the authority to bind any organisation on whose behalf you are using the Service.

AI-generated notes produced by the Service are draft documents only and must be reviewed, verified, and edited by a qualified clinician before being used in any medical record, billing submission, or care-coordination document. Chartflow does not provide medical advice, diagnosis, or treatment recommendations. The Service is a documentation aid, not a substitute for clinical judgement.

You are solely responsible for:

• Reviewing every AI-generated note for accuracy, completeness, and clinical appropriateness before finalising it;
• Obtaining any patient consent required by applicable law before recording a visit;
• Ensuring that your use of the Service complies with your professional licensing requirements, employer policies, and applicable law;
• Any clinical outcomes arising from documentation you produce using the Service.

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms;
• Record individuals without their knowledge or without any legally required consent;
• Share your account credentials or allow any other person to use your account;
• Attempt to reverse-engineer, decompile, or extract source code from the Service;
• Use the Service in any manner that could damage, disable, overburden, or impair it;
• Transmit any virus, malware, or other harmful computer code through the Service.

If you or your agency is a covered entity or business associate under the Health Insurance Portability and Accountability Act (HIPAA), you may execute a Business Associate Agreement (BAA) with Chartflow as part of your subscription. Chartflow processes protected health information (PHI) only pursuant to a BAA. Contact hello@chartflow.health to obtain a BAA before using the Service to process PHI.

Chartflow offers a free tier and paid subscription plans. Subscription fees are billed in advance on a monthly or annual basis via Stripe. By providing a payment method you authorise Chartflow (through Stripe) to charge the applicable subscription fee at the start of each billing period.

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you will not receive a pro-rated refund for any unused portion of a paid period unless required by applicable law.

Chartflow reserves the right to change subscription prices with at least 30 days' advance notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new price.

Chartflow and its licensors own all right, title, and interest in the Service, including all software, design, trademarks, and content we create. These Terms do not transfer any intellectual property rights to you.

You retain ownership of your clinical notes and the patient data you input into the Service. By using the Service you grant Chartflow a limited licence to process your data solely as necessary to provide the Service to you.

You may request account termination at any time from within the app or by contacting us at hello@chartflow.health.

Chartflow may suspend or terminate your account at any time if you violate these Terms, if required by law, or if we cease to offer the Service. We will endeavour to give you reasonable notice before termination except where immediate action is required for legal or security reasons.

Upon termination, your right to access the Service ceases immediately. Your data will be deleted in accordance with our Privacy Policy.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, CHARTFLOW DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CHARTFLOW DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED NOTES WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR CLINICAL PURPOSE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CHARTFLOW, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL CHARTFLOW'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CHARTFLOW IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and, where appropriate, by sending an email to your registered address. If you continue to use the Service after the effective date of any change, you accept the updated Terms.
